The foregoing limitations of liability shall apply to the fullest extent permitted by law and shall survive termination or expiration of these Terms. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you if you reside in such a state.

9. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and the Wing Snob Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

13. Dispute Resolution

13.1 Informal Resolution

Wing Snob will use commercially reasonable efforts to resolve the dispute informally within thirty (30) days of receiving your written notice. 13.2 Binding Arbitration

IF A DISPUTE CANNOT BE RESOLVED INFORMALLY, YOU AND WING SNOB AGREE THAT ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, EXCEPT AS SET FORTH IN SECTION 13.3 BELOW. The arbitration shall be conducted by a recognized arbitration provider such as the American Arbitration Association (AAA) or JAMS, in accordance with their applicable rules and procedures.

The arbitration shall take place in the jurisdiction of Wing Snob's principal place of business, unless otherwise agreed by the parties. The arbitrator shall have the authority to award the same remedies, damages, and relief that a court could award. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Neither you nor Wing Snob may participate in a class arbitration, and the arbitrator may not consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding.

13.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. Additionally, either party may bring a claim in small claims court if the dispute qualifies under the applicable small claims court rules.

14. Term and Termination
